Our client, an international (US) company is looking for a Paralegal for a 6 months mission, at 50%.
This role involves managing distribution channels/contracts, corporate governance, ethics and compliance, and providing general legal and administrative support across EMEA and APAC regions.
Key Responsibilities:
-Support distributors and dealers across EMEA and APAC.
-Ensure timely renewal of all distributor and dealer agreements, including amendments to sales objectives.
-Manage distribution channel issues and terminations.
-Maintain a repository of agreements.
-Process due diligence requests and liaise with local sales teams and the Ethics and Compliance team.
-Set up and incorporate entities, manage board and shareholders' meeting minutes, powers of attorney, and approval of financial accounts.
-Liaise closely with the US corporate team and help populate the corporate entities management system.
-Process board changes.
-Update and issue ESG statements and decisions of the board/shareholders.
-Assist attorneys with contract management, including execution and filing.
-Provide general legal and administrative support.
Handle legalization, update trackers, and internal process sheets.
Requirements:
-Minimum of 5 years of in-house experience as a paralegal in an international environment.
-Proficiency in English, French an asset.
-Excellent communication skills.
-Proficiency with standard document creation and business communication software, such as Microsoft Office.
